Storyteller Consent Form

  1. Consent to Disclose Data. By selecting the “yes” option, any alumnus or alumna of a specific institution or program or any other user (the “Storyteller”) grants Harpier LLC, a New York limited liability company (“Harpier”) consent to disclose the Storyteller’s personal data (“Data”) as defined in Section 3 to prospective and current students (“Students”) for the purposes described in Section 2 below. 
  2. Permitted Disclosures. Harpier may disclose the Storyteller’s Data to Students for any purpose, including but not limited to the following: (a) Students being recruited to an institution or program, (b) Students navigating their career journey, (c) Students navigating their education search and decision-making process, (d) making connections between Storytellers and Students based on mutual interaction preferences, and (e) helping institutions prepare an enhanced alumni experience based on the Storyteller contribution preferences. The Storyteller also understands that Harpier may use such Data with respect to any school the Storyteller attended, and for Students of any school, whether or not the Storyteller attended such school.
  3. Data Covered. “Data” means, but is not limited to, the Storyteller’s name, image, likeness, contact information, demographic information, educational history, employment information, context of Storyteller’s experiences, thoughts and feedback on experiences, contribution and interaction preferences, social media accounts, and any other information collected and maintained by Harpier regarding the Storyteller.
  4. No Compensation. The Storyteller understands that they will not receive any consideration from Harpier, Students, or any schools in connection with this agreement.
  5. Release of Claims.
    1. The Storyteller grants Harpier the right and permission to record, use, publish, stream live, or otherwise distribute any written material, photograph, audio, or video of the Storyteller. Such right and permission includes, but is not limited to, the Storyteller’s name, recorded voice or video, photograph or likeness, biographical and educational information, employment history, or any material based upon or derived therefrom (the “Materials)
    2. Harpier may use the Materials in its sole discretion in print, online, or in any manner of media, including but not limited to its website, LinkedIn, Facebook, Twitter, or Instagram. 
    3. The Storyteller waives any right to inspect or approve a product before it is published or distributed.
    4. The Storyteller waives any claim for damages of any kind including, but not limited to, invasion of privacy, defamation, right of publicity, or misappropriation arising out of the use or publication of the Materials.
    5. The Storyteller agrees that any intellectual property rights associated with the Materials are the sole property of Harpier. The Storyteller hereby assigns and promises to assign all such rights to Harpier.
    6. The Storyteller shall not violate the rights of any third parties, including but not limited to copyrights, rights of privacy, trade secrets, and non-disclosure agreements. In the event of any breach of such covenant, the Storyteller will defend and hold Harpier harmless against any such claims.
  6. Termination of Agreement. The Storyteller may revoke the consent set forth in Section 1 of this agreement at any time by sending a written revocation of consent to Harpier at [privacy@harpier.com]; provided, however, that the other provisions set forth in this agreement shall survive such termination of the agreement. Upon receipt of the revocation of consent, Harpier shall delete the Storyteller’s data from its database, website, and marketing materials. However, the Storyteller understands that once Data is disclosed to a Student, Harpier no longer controls how the Student uses or shares the Data. The Storyteller may reinstate their consent by sending a written reinstatement of consent to Harpier at [privacy@harpier.com].
  7. Storyteller Indemnification. The Storyteller shall indemnify, hold harmless, and, at Harpier’s option, defend Harpier from and against:
    1. Any injury or losses resulting from any third-party claim that the Data, or any use of the Data in accordance with the purposes outlined in Section 2, infringes or misappropriates such third-party’s US intellectual property rights, and 
    2. Any injury or losses resulting from a Student’s use of the Data, including any injury or losses resulting from a third-party’s use of the Data if that injury is a direct result of the Student’s use or disclosure of the Data.
  8. Governing Law. This consent shall be governed by the laws of New York.
  9. Entire Agreement. This document, together with the Privacy Policy, constitutes the entire agreement between Harpier and the Storyteller relating to the disclosure of Data to Students.
